License Agreement
Originally effective 20 February 2026. Revised 21 July 2026 to reflect the partnership-only access model. This document sets out standard terms; the executed Structured Licensing Agreement governs any specific engagement. For questions, contact labs@smartledger.solutions.
1.Grant of License
Subject to these terms and your compliance with all applicable agreements, Origin Neural grants you a non-exclusive, non-transferable, revocable license to access and use molecular prediction data. The scope of this license is determined by the licensing agreement executed between you and Origin Neural. This license does not convey ownership of any intellectual property, data, or proprietary methods underlying the Service.
2.Data Tier Structure
Prediction data is organised into seven classification tiers, each representing progressively higher levels of data quality, validation, and commercial value:
- SCREENING
- Initial AI-generated predictions with basic binding scores.
- VALIDATED
- Predictions cross-checked against known binding assay data.
- OPTIMIZED
- Predictions refined through multi-objective optimisation (MPO).
- CLINICAL
- Predictions aligned with clinical-stage compound profiles.
- PROFESSIONAL
- Full ADMET and molecular property data included.
- ENTERPRISE
- Comprehensive dossiers with scaffold analysis and compliance data.
- VAULT
- Highest-confidence predictions with complete provenance chains and strategic licensing eligibility.
Access to specific data tiers is governed by your executed agreement.
3.Licensable Offerings
- Catalogue access
- The existing predictions, in full or scoped to a target family, disease area, or scaffold class, including compound dossiers, SMILES, ADMET profiles, scaffold analysis and bulk export.
- Engine licensing
- Deployment of the prediction engine within the partner's own environment, run against partner-proprietary targets.
- Commissioned campaigns
- Generation of a new, dedicated prediction set against a partner-specified biological target, anchored and delivered.
- Verification layer
- Anchoring of partner-generated results to establish priority dates and tamper-evident audit trails.
- Research collaboration
- Joint work on a disease area, target class, or compound family, on terms structured around shared discovery.
4.Commercial Terms
Commercial terms are negotiated individually and set out in the executed Structured Licensing Agreement. Indicative structures include upfront data access fees in the range of $50,000–$150,000, pre-clinical and clinical milestone payments, regulatory milestone payments, and commercial royalties in the range of 1–5% of net sales. Field-of-use carve-outs may grant exclusivity within specific therapeutic indications.
The ranges stated above are indicative only and do not constitute an offer. Final terms depend on the requested dataset, intended use, research scope, exclusivity, and territory.
5.Restrictions
Under this license, you may not:
- redistribute, resell, sublicense, or publicly share prediction data obtained from the Service;
- perform bulk scraping or systematic downloading beyond the export limits designated in your agreement;
- attempt to reconstruct, reverse-engineer, or derive the model's architecture, weights, or training methodology from the Service's outputs;
- remove, alter, or obscure any MolMark forensic watermarks or other proprietary identifiers embedded in exported data;
- use prediction data to train competing machine learning models or services;
- share API credentials or access tokens with unauthorised third parties.
All exported data retains its licensing restrictions regardless of format or medium.
6.MolMark Forensic Watermarking
Exported prediction data contains embedded MolMark forensic watermarks. MolMark is a proprietary 16-bit steganographic signature embedded within exported molecular data that uniquely identifies the recipient, export timestamp, and scope of access. It is designed to survive common data transformations including format conversion, column reordering, and partial dataset extraction. The presence of MolMark watermarks in redistributed data constitutes evidence of license violation. Intentional removal, alteration, or circumvention of MolMark watermarks is a material breach of this agreement and may result in immediate termination, legal action, and liability for damages.
7.Attribution
Any use of prediction data in publications, research papers, presentations, or derivative works must include attribution identifying Origin Neural as the source, together with the relevant prediction identifiers and associated BSV blockchain transaction IDs, so that provenance can be independently verified. Failure to provide proper attribution may constitute a breach of this agreement.
8.Termination
Origin Neural may terminate or suspend your license immediately upon breach of any term in this agreement. Upon termination:
- all rights granted under this license cease immediately;
- you must destroy all copies of exported prediction data in your possession within 30 days;
- you must certify in writing that all data has been destroyed upon request;
- any outstanding payment obligations remain enforceable.
Sections relating to intellectual property ownership, restrictions, MolMark watermarking, limitation of liability, and dispute resolution survive termination of this agreement.
